Notice is hereby given to all members of the Society of Alberta Occupational Therapists (the “Society”) that a Special General Meeting of the Society will be held at 12:00 pm, May 14, 2024 at which the following motion will be considered respecting the adoption of revised bylaws. Members are advised that the draft bylaws may be amended as the members present at the Special General Meeting may decide.
The motion to be considered is,
“THAT, the bylaws of the Society be hereby revised (as amended) and such bylaws shall be effective upon registration by the Registrar of Corporations of Alberta (“Registrar”),
THAT, any director or officer of the Society is hereby authorized and instructed to do all things necessary to complete the registration of the revised bylaws (as amended), and
THAT the Board of Directors is hereby authorized and instructed to make such changes to the revised bylaws (as amended) as may be required by the Registrar for registration and filing of these revised bylaws.
The motion above is a Special Resolution and will require a 75% vote to adopt at the Special General Meeting.

14. The Society shall have a minimum of nine (9) and maximum of eleven (11) directors comprised of a minimum of five (5) and a maximum of seven (7) directors elected by the members of the Society, an ex-officio director who shall be the Executive Director of the Society, one director who may be appointed by and from the University of Alberta Department of Occupational Therapy, one director who is a student who may be appointed by and from the University of Alberta Department of Occupational Therapy, and one director who may be appointed by and from the Canadian Association of Occupational Therapists.
